These Terms of Service govern your use of sovereign-noir.com and any purchase of goods from Sovereign Noir LLC, a Wyoming, USA Limited Liability Company with its registered office at 30 N Gould St Ste 100, Sheridan, WY 82801. By accessing this website or placing an order, you agree to these terms.

If you are agreeing on behalf of a company or other organization, you confirm that you have authority to bind that organization, and references to "you" mean that organization.

If you do not agree with these terms, please do not use the website or place an order.

Sovereign Noir LLC is a direct-to-consumer e-commerce company. We design, build, and operate consumer product brands and sell them through owned digital storefronts.

• We sell consumer goods. When a catalog is live, product descriptions, prices, and availability will be stated on the relevant product page.
• Website content is provided for general information about the company and, when listed, its products. It does not create an order until checkout is completed.
• These terms apply to the website now, and to every order placed through it once products are offered for sale.

You must be at least 18 years old, or the age of majority in your place of residence, whichever is higher, to place an order. By using the site you confirm that you meet this requirement and that the information you provide is accurate.

When products are offered for sale, an order is an offer to buy. A contract is formed only when we send you an order confirmation by email. We may decline or cancel an order, for example if an item is unavailable, if we cannot verify payment, or if we reasonably suspect fraud.

Prices

Prices are stated in United States dollars unless marked otherwise, and are exclusive of applicable sales tax and shipping unless the product page says otherwise. We may correct obvious pricing errors before accepting an order.

Payment

Payment is due at checkout through the processor displayed on the payment page. By submitting payment details you authorise the charge for the order total, including tax and shipping.

Availability

Product listings, including images and descriptions, are an invitation to treat. Stock can change. If we cannot fulfill an item after confirmation we will notify you and refund that item in full.

Taxes

Where we are required to collect sales tax, it will be calculated at checkout. You are responsible for any duties or import taxes assessed by your country on inbound parcels.

Shipping options, estimated timeframes, and costs will be shown at checkout when products are offered for sale. Estimates are not guarantees. Title and risk of loss pass to you when the carrier collects the parcel, except where consumer law requires otherwise.

• You are responsible for providing a complete and accurate delivery address.
• If a parcel is returned to us because of an incorrect address or a failed delivery attempt, we may charge you the cost of reshipment or refund the merchandise less original outbound shipping.
• We are not responsible for delays caused by the carrier, customs, weather, or events outside our reasonable control.

Returns, exchanges and refunds are governed by our Returns and Refund Policy, which forms part of these terms. In summary, most unused items in original condition may be returned within 18 days of delivery. See that policy for the full process, exceptions, and timing.

• All content on sovereign-noir.com, including text, layout, code, photography, product design, brand names and visual identity, is owned by Sovereign Noir LLC or used under license, and may not be copied, republished or used commercially without written permission.
• You may not use our names, logos or product imagery in a way that suggests endorsement or affiliation without our prior written consent.
• Product names and brand identities will be listed as they launch. Until then, Sovereign Noir remains the house mark of the company.

You agree not to use this website in any way that is unlawful or that could damage the site or impair anyone else's use of it. In particular you agree not to do the following.

• Attempt to gain unauthorized access to the site, its servers or any connected system.
• Introduce malware, conduct denial of service attacks or otherwise interfere with the site's operation.
• Scrape, harvest or systematically extract content, product data or contact details for marketing or resale.
• Submit false, misleading or fraudulent information through any form or checkout on the site.
• Use the site to send unsolicited commercial messages to us or to anyone else.

The website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties in relation to the website and its content, including merchantability, fitness for a particular purpose and non-infringement.

Nothing in these terms limits any rights you have under applicable consumer protection law that cannot be excluded, including any implied warranty that goods will be of acceptable quality and match their description.

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, however arising.

Our total aggregate liability arising out of or relating to an order, whether in contract, tort or otherwise, is limited to the amount you actually paid to Sovereign Noir LLC for that order.

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

You agree to indemnify and hold harmless Sovereign Noir LLC, its members, officers and personnel against claims, damages, losses and reasonable legal costs arising from your breach of these terms, your misuse of the website, your unlawful conduct, or your infringement of a third party's rights, except to the extent the claim results from our own negligence or wilful misconduct.

These terms and any dispute arising out of them or out of an order are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules, except where consumer law in your place of residence requires otherwise. Subject to that exception, the parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming.

Before commencing proceedings, the parties agree to attempt in good faith to resolve the dispute directly for a period of 30 days, beginning with written notice sent to support@sovereign-noir.com. Nothing in this clause prevents either party from seeking urgent injunctive relief.

• Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including carrier disruption, supply interruption, or utility failure, provided we notify you promptly and work to mitigate the effect.
• Assignment. You may not assign these terms without our written consent. We may assign them to a successor of substantially all of the business.
• Severability. If any provision is held unenforceable, the remainder stays in full effect and the provision is modified to the minimum extent necessary.
• No waiver. A failure to enforce a right is not a waiver of that right.
• Entire agreement. These terms, together with the Privacy Policy and the Returns and Refund Policy, form the entire agreement between you and us on their subject matter for website use and online purchases.

We may revise these terms from time to time. The revision date appears at the top of this page. Changes apply prospectively. An order already confirmed remains governed by the terms in force on the date of confirmation.
